Sakhi & Me Host Terms

These Host Terms ("Terms") govern your participation as a "Host" on Sakhi & Me (the "Platform"), operated by Mehphil ("Mehphil," "we," "us," or "our"). By tapping "I Agree," completing Host onboarding, or making yourself available to receive Calls on the Platform, whichever happens first, you agree to be bound by these Terms.

These Terms are additional to, and should be read together with, the Sakhi & Me Terms of Service, the Sakhi & Me Privacy Policy, and the Sakhi & Me Community Guidelines (together with these Terms, the "Platform Policies"). Where these Terms are silent on a subject already covered in the Terms of Service or the Community Guidelines, those documents continue to apply to you. If there is a direct conflict between these Terms and the Terms of Service on a matter specific to Hosts, these Terms will prevail.

If you do not agree to these Terms, you must not register, or continue to act, as a Host on the Platform.

2. Definitions

Capitalised terms used but not defined in these Terms have the meaning given to them in the Sakhi & Me Terms of Service. In these Terms:

  • "Eligible Earnings" means Diamonds credited to your Host account that have cleared our fraud and integrity checks and are available for withdrawal.
  • "Host Account" means the Account through which you operate as a Host on the Platform.
  • "Services" means the activities described in Section 5 (Scope of Services) that you agree to perform as a Host.

3. Nature of the Relationship

You participate on the Platform as an independent individual, not as an employee, worker, partner, agent, or franchisee of Mehphil. Nothing in these Terms creates an employment, partnership, joint venture, or agency relationship between you and us. You are not entitled to any employee benefits, including provident fund, gratuity, paid leave, or insurance, by virtue of your participation as a Host.

Your engagement as a Host is non-exclusive. You are free to offer similar services on other platforms, and we are free to engage other individuals to act as Hosts, without this affecting your rights under these Terms.

4. Term

These Terms commence on the date you first agree to them, or the date you first make yourself available to receive Calls as a Host, whichever is earlier, and continue until terminated in accordance with Section 16.

We may suspend or terminate your participation as a Host at any time, with or without cause, by giving you notice through the Platform, SMS, or email, except where immediate action is permitted under Section 15. You may stop participating as a Host at any time by following the Host account closure process in the app. Termination does not affect any rights or obligations that accrued before termination.

5. Scope of Services

As a Host, you agree to:

  • make yourself available for live, one-on-one audio and video Calls with Customers through the Platform;
  • engage with Customers during Calls in accordance with the Platform Policies, including the Community Guidelines;
  • complete and maintain KYC verification as described in Section 6; and
  • permit the use of your display name, profile photo, and profile information for display on the Platform to Customers, solely for the purpose of the matching and Call features of the Platform.

These Services are provided to enhance the Platform’s offering to Customers. We act solely as an intermediary between you and Customers, and do not direct or control the specific content of your conversations during a Call, subject to your compliance with the Platform Policies.

6. Onboarding and KYC

Before you can operate as a Host, you must complete our onboarding process, which includes submission of your Aadhaar number and/or PAN through our KYC verification partner, a live selfie or short video for identity match, and bank account or UPI details for the receipt of payouts. You must ensure that all information and documents you submit are true, complete, and current, and you must promptly update us if any of this information changes.

We may decline to onboard you, or may suspend your existing Host Account, if KYC verification fails, if the information you provide cannot be verified, or if we have reasonable concerns about the authenticity of your identity or documents.

7. Eligibility for Payouts

Not all Hosts are eligible to earn or withdraw earnings. To qualify for monetisation on the Platform, you must meet the following minimum requirements in each calendar month ("Eligibility Criteria"):

  • complete at least 1 (one) hour of live Calls;
  • engage in live Calls with multiple unique Customers;
  • participate in any training and complete any certification we require;
  • successfully complete and maintain KYC verification as described in Section 6; and
  • remain in compliance with the Platform Policies, without any suspension for breach.

Only Hosts who meet the Eligibility Criteria may request payouts under Section 8. We may review and revise the Eligibility Criteria from time to time, and will notify you of any change through the Platform or by SMS.

8. Diamonds and Payment

8.1 How you earn

For each Coin spent by a Customer on a Call with you, or on a Gift sent to you, you are credited with earnings in the form of Diamonds, at the conversion rate of 10 (ten) Coins to 1 (one) Diamond, subject to adjustment by us from time to time on notice through the Platform.

8.2 Value and deductions

Each Diamond represents a right against Mehphil to receive an amount in Indian Rupees, at the rate displayed in your Host payout screen at the time of withdrawal. This amount is subject to deduction of applicable taxes (including tax deducted at source), payment gateway charges, and any Platform fee then in effect. Earnings shown in your Host dashboard are indicative until a withdrawal is processed and are subject to the deductions and verification described in this Section 8.

8.3 Withdrawal

If you meet the Eligibility Criteria in Section 7, you may request a payout of your Eligible Earnings once your balance exceeds INR 50 (Indian Rupees Fifty), or such other minimum threshold as we may notify from time to time through the Platform or by SMS. Payouts are made through the payout methods we support, subject to successful completion of any verification or tax requirements we notify to you, including under Section 8.5.

You must withdraw any Eligible Earnings within 365 days of the date they are credited to your Host Account. Amounts not withdrawn within this period may be forfeited. We may suspend or delay a withdrawal if your Host Account is under investigation for suspected breach of these Terms, fraud, or violation of law.

8.4 No manipulation of earnings

You must not engage in any fraudulent, deceptive, or inauthentic activity intended to increase your earnings, including creating or using multiple Host Accounts, generating fake or self-arranged Calls, colluding with a Customer to inflate Call duration or Gifts, or self-tipping through any means. Earnings generated through such activity will be forfeited and may result in suspension or termination of your Host Account under Section 15.

8.5 Tax

We may require you to provide your PAN, or other tax information, once your cumulative earnings in a financial year cross the threshold at which tax deduction at source becomes applicable under Indian law, or such other threshold as we notify. You are solely responsible for reporting your earnings and paying any tax due under applicable law, beyond any amount we are required to deduct at source.

8.6 Final calculation

Our calculation of your earnings and Eligible Earnings balance is final and binding, in the absence of manifest error. If you believe there is an error in your balance, please contact us using the details in Section 19 within a reasonable time of the discrepancy arising.

9. Conduct and Content Standards

Your conduct as a Host is governed by the Sakhi & Me Community Guidelines, which form part of these Terms by reference. In addition, and without limiting the Community Guidelines, as a Host you specifically agree to:

  • conduct yourself in a respectful, professional, and lawful manner during every Call, regardless of how a Customer behaves, and to end a Call and report the Customer through the in-app tools if you feel unsafe, harassed, or pressured;
  • not solicit, encourage, or arrange any communication, payment, or engagement with a Customer outside the Platform, including moving the relationship to another messaging app, social media, or a competing platform;
  • not exploit, or attempt to exploit, any bug, vulnerability, or loophole in the Platform, and to promptly report any such issue to us if you discover one;
  • participate in onboarding training and any certification we may require from time to time, and follow reasonable instructions given during such training; and
  • comply with the Platform Policies as updated from time to time.

10. Calls: Monitoring and Recording

Calls on the Platform are handled in the manner described in Section 4.3 of the Sakhi & Me Privacy Policy: Calls are not routinely recorded, but we may record a limited sample of Calls for safety review, moderation training, and dispute resolution, subject to the access controls and retention limits described there. As a Host, you consent to this limited monitoring and recording as a condition of using the Platform.

You must not yourself record, capture, or share any part of a Call, whether audio, video, or a screenshot, without the knowledge and consent of the Customer on that Call, and in any event not for any purpose outside the ordinary conduct of that Call.

11. Confidentiality

You must keep confidential, and not disclose to any third party, any non-public information you receive or become aware of through your participation as a Host, including personal information about Customers, and information about the operation, technology, earnings structure, or policies of the Platform ("Confidential Information"). You may use Confidential Information only to perform the Services, and must protect it with at least the same degree of care you use to protect your own confidential information.

You may disclose Confidential Information only where required by law or legal process, and only to the extent required, giving us prompt notice where legally permitted so that we may seek appropriate protective measures. This Section 11 continues to apply after you stop participating as a Host.

12. Intellectual Property

You retain ownership of any material you create during your Calls, subject to any third-party rights in material you use. You grant us a limited, non-exclusive, royalty-free licence to transmit, and where applicable to record and store in accordance with Section 10, your Calls for the purpose of operating, moderating, and improving the Platform. This licence ends when the relevant recording is deleted from our systems in the ordinary course of business, in accordance with the Privacy Policy.

You must not use any third-party intellectual property, including music, images, or video, during a Call in a way that infringes the rights of others. Nothing in these Terms transfers to you any ownership rights in the Platform, our trademarks, or any other intellectual property owned by Mehphil, and nothing in these Terms transfers to us any ownership rights in your personal likeness beyond the licence described in this Section 12.

13. Your Representations and Warranties

You represent and warrant, on an ongoing basis for as long as you act as a Host, that:

  • you are at least 18 years of age and have the legal capacity to enter into these Terms;
  • all information you provide to us is true, complete, and not misleading, and you will promptly update it if it changes;
  • your participation as a Host, and everything you say and do during a Call, will comply with applicable law and the Platform Policies;
  • you will perform the Services in a diligent and professional manner; and
  • nothing you say, share, or do during a Call infringes the rights of any third party.

14. Indemnity

You agree to indemnify and hold harmless Mehphil, its affiliates, and their respective directors, officers, employees, and agents from and against any claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

  • your breach of these Terms or of any representation or warranty you make under them;
  • any content or conduct during your Calls that infringes the rights of, or otherwise harms, any person; and
  • any violation of applicable law by you, or any claim by a government or regulatory authority arising from your acts or omissions as a Host.

This obligation continues even after you stop participating as a Host.

15. Suspension and Removal

We may suspend, restrict, or remove your access to the Platform as a Host, including your Host profile or your ability to receive Calls, if we reasonably believe you have breached these Terms, the Community Guidelines, or applicable law, or if we consider it necessary for user safety, legal compliance, or the operational integrity of the Platform. For the most serious violations, including anything described in Section C.4 of the Community Guidelines (child sexual exploitation and abuse), we will act immediately and without prior notice.

We are not responsible for any loss of earnings, opportunities, or data that you may suffer as a result of a suspension or removal made in good faith under this Section 15, and no compensation will be payable for such loss, except in respect of Eligible Earnings that are not otherwise subject to forfeiture under these Terms.

16. Termination

You may terminate your participation as a Host at any time by closing your Host Account through the Platform. We may terminate your participation as a Host, or these Terms as they apply to you, at any time, including where you breach these Terms, the Community Guidelines, or applicable law, where we believe your conduct may harm the Platform, its users, or our reputation, or where we discontinue the Host programme generally.

If your Host Account is terminated or suspended for breach of these Terms, fraud, or violation of applicable law, we may withhold payment of any earnings we reasonably determine are connected to that breach or activity, pending investigation. Earnings found to have been generated through fraudulent, deceptive, or prohibited means will be forfeited. All other legitimate, verified Eligible Earnings will be paid to you in accordance with Section 8.

Termination does not affect rights or obligations that accrued before termination, including our right to recover amounts from you, or your ongoing confidentiality and indemnity obligations under these Terms.

17. Limitation of Liability

To the maximum extent permitted by applicable law, we will not be liable to you for any indirect, incidental, consequential, punitive, or special damages, including loss of earnings, opportunities, data, or goodwill, arising out of or in connection with these Terms or your participation as a Host.

Our total liability to you for any claim arising out of or in connection with these Terms will not exceed the total amount of Eligible Earnings paid to you through the Platform in the 3 (three) months immediately preceding the event giving rise to the claim. Nothing in this Section 17 limits your liability to us for breach of these Terms, infringement of third-party rights, or violation of law, nor does it limit any liability that cannot be limited under applicable Indian law.

18. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India. The courts at Bengaluru, Karnataka, India have exclusive jurisdiction over any dispute or claim arising out of or in connection with these Terms or your participation as a Host.

19. Miscellaneous and How to Reach Us

19.1 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations to any affiliate, or in connection with a merger, acquisition, or sale of business, without your consent.

19.2 No waiver

Our failure to enforce any right or provision of these Terms will not be treated as a waiver of that right or provision. Any waiver must be in writing to be effective.

19.3 Severability

If any provision of these Terms is found invalid or unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

19.4 Entire agreement

These Terms, together with the Platform Policies referenced in them, are the entire agreement between you and us regarding your participation as a Host, and supersede all prior understandings on the same subject.

19.5 Survival

Provisions relating to confidentiality, intellectual property, indemnity, limitation of liability, and any other provisions intended to survive termination will continue to apply after you stop participating as a Host.
