Welcome to Sakhi & Me. These Terms of Service (the "Terms") govern your access to and use of the Sakhi & Me mobile application, our website, and the related services we make available through them (together, the "Platform").
The Platform is operated by Mehphil ("Mehphil," "we," "us," or "our"), acting through Mehphil Technology Private Limited, a company incorporated in India with its registered office at Unit 101, Oxford Towers, 139/88, HAL Old Airport Road, Kodihalli, Bengaluru, Karnataka 560008, India. In these Terms, "you" and "your" refer to any individual who accesses or uses the Platform, whether as a Customer, as a Host, or otherwise.
These Terms should be read together with our Privacy Policy, our Community Guidelines, and, where relevant, the separate Host Terms that apply to individuals who receive Calls on the Platform. Together these form the agreement between you and Mehphil in respect of your use of the Platform.
By creating an Account, by tapping any button labelled "Agree," "Continue," or similar during sign-up, or by otherwise using the Platform, you confirm that you have read, understood, and agreed to be bound by these Terms. If you do not agree with any part of these Terms, please do not use the Platform.
2. Definitions
In these Terms:
- "Account" means your registered Sakhi & Me user account.
- "Call" means any audio or video communication session initiated between a Customer and a Host through the Platform.
- "Coins" means the in-Platform virtual currency purchased by Customers using real currency and redeemable only for services on the Platform.
- "Community Guidelines" means the rules of conduct that apply to all users of the Platform, available in-app and at our website.
- "Content" means any information, text, images, audio, video, or other material submitted to, transmitted through, or displayed on the Platform by any user.
- "Customer" means an individual who uses the Platform to browse Host profiles, purchase Coins, and initiate Calls.
- "Diamonds" means the earnings unit credited to a Host in exchange for received Coins, redeemable in accordance with the Host Terms.
- "Gift" means a virtual item purchased using Coins and sent by a Customer to a Host during or in connection with a Call.
- "Host" means an individual verified by us to receive Calls on the Platform in accordance with the Host Terms.
- "KYC" means the identity verification process applicable to Hosts, conducted through our verification partners.
- "Privacy Policy" means the Sakhi & Me Privacy Policy available in-app and at our website, as updated from time to time.
3. Eligibility
You may use the Platform only if all of the following are true:
- You are at least 18 (eighteen) years of age.
- You are a resident of India and are physically located in India when using the Platform.
- You are capable, under the Indian Contract Act, 1872, of entering into a legally binding contract with us.
- You have not previously been suspended or removed from the Platform by us.
- Your use of the Platform is not prohibited by any applicable law, order, or contractual obligation binding on you.
The Platform is designed around opposite-gender Customer to Host matching, and gender is a mandatory input we collect at sign-up. By continuing sign-up, you confirm that the gender you have selected is accurate.
If we discover that you do not meet any of the eligibility requirements above, we may suspend or close your Account without notice, and any Coins or Diamonds in your Account may be forfeited in accordance with these Terms.
4. Your Account
4.1 Creating your Account
You create your Account by providing your mobile number and completing verification through a one-time password delivered by SMS. You also provide a display name, gender, age or date of birth, and preferred language, and you may optionally add a profile photo and other profile details.
You agree to provide information that is true, current, and complete, and to keep it updated. Providing false, misleading, or impersonating information is a material breach of these Terms and may lead to immediate account closure.
4.2 One person, one Account
Each Account is linked to a single mobile number and is intended for use by one individual. You may not create multiple Accounts, share your Account with anyone else, allow anyone else to use it, or transfer or sell it. If we detect duplicate or shared Accounts, we may close any or all of them.
4.3 Keeping your Account secure
You are responsible for all activity that takes place through your Account. You agree to keep your mobile device, SIM, and one-time passwords secure, and not to share your one-time passwords, payment credentials, or Account access with any other person, including any Host. If another user asks you for your one-time password, your bank details, or any other sensitive information, you should refuse and report the user to us using the in-app reporting tools.
If you have reason to believe that your Account has been accessed by an unauthorised person, please contact our support team immediately using the details in Section 20.
4.4 Communications
By creating an Account, you consent to receive communications from us on the mobile number, and any other contact details, associated with your Account. These communications include one-time passwords, transaction confirmations, service updates, safety notices, and other messages relating to the operation of the Platform. This consent applies even where your mobile number is registered under the National Customer Preference Register or any equivalent Do-Not-Disturb registry maintained under regulations of the Telecom Regulatory Authority of India.
5. The Platform
Sakhi & Me is a paid companionship platform that connects Customers and Hosts through one-on-one audio and video Calls, in the languages we support from time to time. Customers purchase Coins and use them to initiate Calls and to send Gifts. Hosts receive Coins from Calls and Gifts, which are converted into Diamonds and later redeemed in accordance with the Host Terms.
The Platform is provided for entertainment and companionship purposes only. Sakhi & Me is not, and does not hold itself out to be:
- a dating, matchmaking, marriage, or escort service;
- a professional counselling, medical, psychological, psychiatric, or therapy service;
- a source of legal, financial, or other professional advice; or
- an emergency or crisis service.
If you are experiencing a medical, mental health, or safety emergency, please contact an appropriate emergency service or a qualified professional. Sakhi & Me is not a substitute for such services.
We act as an intermediary within the meaning of the Information Technology Act, 2000 and the rules made under it. We provide the technology that allows Customers and Hosts to communicate. We do not create Calls between users, and we do not endorse or take responsibility for what users say to each other during a Call.
6. Customer Terms
This Section 6 applies to your use of the Platform as a Customer.
6.1 What Coins are
Coins are virtual credits made available by us for use within the Platform. When you purchase Coins, you are not buying goods, property, or any real-world asset. You receive a limited, revocable, non-exclusive, non-transferable, and non-sublicensable licence to use those Coins to access permitted features of the Platform, subject to these Terms. Coins have no monetary value outside the Platform, cannot be exchanged for cash or legal tender, and cannot be traded, sold, gifted, bequeathed, or otherwise transferred, whether on or off the Platform.
6.2 How to purchase Coins
Coins may be purchased through the payment methods we make available from time to time, which may include the in-app billing systems of the app store distributing Sakhi & Me, web-based checkout services, and other authorised channels. Purchases are processed by third-party payment providers whose terms, fees, and any applicable currency conversion charges apply to your transaction. We are not responsible for delays, failures, or errors caused by these providers.
The price of each Coin bundle is displayed at the point of sale and is inclusive of applicable taxes unless stated otherwise. You are responsible for paying all taxes, fees, and charges applied to your transaction by your payment provider or by law. Once your payment is successfully received and settled, your Account will be credited with the corresponding number of Coins.
6.3 Using Coins
Coins may be used only within the Platform, and only for the features and rates that we designate from time to time. At the effective date of these Terms, Coins are used at the following rates:
- audio Calls: 10 Coins per minute; and
- video Calls: 60 Coins per minute.
Coins may also be used to purchase and send Gifts to Hosts during or in connection with Calls, at prices displayed at the point of sending. We may add, remove, or change features, Gift catalogues, and Coin rates at any time. We will use reasonable efforts to communicate material changes in advance through the Platform.
6.4 Refunds and no cash equivalence
All Coin purchases are final. Once Coins are credited to your Account, they are non-refundable and non-exchangeable, to the maximum extent permitted by applicable law. This includes cases where you decide you no longer wish to use the Platform, close your Account voluntarily, or are dissatisfied with a Call, Host, or Gift.
If a payment is charged to you but the corresponding Coins are not credited to your Account because of a verified technical failure on our side, please contact our support team, and we will investigate and, where appropriate, either credit the missing Coins or arrange a refund of that specific charge. Chargeback disputes raised without first contacting us may result in your Account being suspended pending investigation.
6.5 Expiry
Coins expire automatically 12 (twelve) months after the date they are credited to your Account, unless we display a different expiry period at the point of sale for a specific Coin bundle. Expired Coins are automatically removed from your Account without further notice, refund, or compensation. We may extend expiry periods at our discretion.
6.6 Forfeiture on breach
If your Account is suspended or closed because you breached these Terms, the Community Guidelines, or applicable law, all unused Coins and Gifts in your Account will be forfeited without refund or compensation. This is a reasonable pre-agreed remedy for the loss that a breach of platform trust and safety rules causes to us and to our other users, and you agree that this remedy is proportionate.
6.7 Gifts
Gifts are virtual items purchased using Coins and sent by Customers to Hosts. Gifts are provided as digital content within the Platform, have no real-world monetary value, and cannot be converted back into Coins or into cash. Gifts, once sent, cannot be withdrawn or reversed. We may replace or credit an equivalent Gift at our discretion if a Gift is corrupted or fails to function as intended.
7. Host Terms Summary
This Section 7 sets out the key terms that apply to your use of the Platform as a Host. Additional terms specific to Hosts, including detailed payout mechanics, withdrawal minimums, and conduct standards, are set out in the separate Host Terms document, which forms part of these Terms by reference.
7.1 Host onboarding and KYC
You may operate on the Platform as a Host only after you complete our onboarding process and satisfy our KYC requirements, which include verification of your Aadhaar and/or PAN through our KYC partner, a live selfie or short video match, and submission of bank account or UPI details for the receipt of payouts. We may refuse Host onboarding, or offboard an existing Host, at our sole discretion, for reasons that include verification failure, past conduct on the Platform, or public safety and platform integrity considerations.
7.2 Diamonds and conversion
For each Coin received by a Host in respect of a Call or Gift, the Host is credited with earnings in the form of Diamonds at the conversion rate of 10 (ten) Coins to 1 (one) Diamond, subject to adjustment by us from time to time by notice through the Platform.
Each Diamond represents a right against Mehphil to receive an amount in Indian Rupees, at the rate we display in the Host payout screen at the time of withdrawal, subject to (a) any minimum withdrawal amount we set from time to time, (b) deductions on account of tax, statutory levies, and payment provider fees, and (c) fraud, chargeback, and integrity reviews described in Section 7.4. Diamonds are not currency and are not property.
7.3 Withdrawals
Hosts may request withdrawals of Diamonds through the withdrawal flow inside the Platform. Withdrawals are settled through UPI or bank transfer, using the details registered by the Host during onboarding. Settlement timelines depend on our internal processing and on the timelines of our payment partners, and are indicative rather than guaranteed.
7.4 Reversal, hold, and forfeiture
We may hold, reverse, or forfeit Diamonds and pending withdrawals where we reasonably believe that:
- the corresponding Coins were purchased through fraud, chargeback, or unauthorised use of a payment instrument;
- the Host has breached these Terms, the Host Terms, the Community Guidelines, or applicable law;
- the Host has engaged in artificial call generation, coordination with Customers to inflate earnings, off-Platform solicitation, or similar integrity violations; or
- a lawful order or request from a court, regulator, or law-enforcement authority requires us to do so.
7.5 Taxes
Payouts to Hosts are made subject to deduction of tax at source and any other taxes or statutory levies that apply under Indian law. Hosts are solely responsible for filing their own tax returns and paying any further tax due on their earnings.
7.6 Not an employment relationship
Hosts operate on the Platform as independent individuals. Nothing in these Terms or in the Host Terms creates an employer to employee, partnership, agency, or joint-venture relationship between Mehphil and any Host. Hosts are not entitled to employee benefits, provident fund, gratuity, or any similar entitlements from us.
8. Acceptable Use
You agree not to use the Platform, and not to allow anyone else using your Account to use the Platform, to do any of the following:
- breach any Indian or other applicable law, court order, or regulation;
- violate the Community Guidelines;
- impersonate any other person, misrepresent your identity, age, or gender, or engage in any form of fraud;
- harass, bully, threaten, stalk, intimidate, defame, or discriminate against another user or any group;
- engage in sexually explicit conduct or transmit sexually explicit content during Calls or through the Platform, including nudity, sexual acts, indecent exposure, or requests for such conduct from another user;
- sexualise, groom, or endanger any person under the age of 18, in any way, whether or not that person is on the Platform;
- solicit any user to move a conversation or transaction to any channel outside the Platform, or exchange contact details, payment details, or personal information off-Platform;
- offer, promote, or engage in escort, prostitution, or any other unlawful service in connection with the Platform;
- share, publish, or transmit content that infringes the intellectual property, privacy, or publicity rights of any other person;
- share, publish, or transmit malicious code, viruses, or any technology that may damage or interfere with the Platform or its users;
- use bots, scrapers, automated tools, or any other means to access, interfere with, or overload the Platform;
- reverse engineer, decompile, or otherwise attempt to derive the source code of the Platform, except as expressly permitted by law that we cannot contract out of;
- resell, sub-licence, or commercially exploit any part of the Platform without our prior written consent;
- circumvent, or attempt to circumvent, any technical, security, or moderation control we put in place; or
- engage in any other conduct that we reasonably determine is harmful to the Platform, our users, or our lawful interests.
The list above is not exhaustive. The Community Guidelines describe our expectations of user behaviour in greater detail and form part of these Terms.
9. Content, Calls, and Moderation
9.1 Your responsibility for Content and Calls
You are solely responsible for the Content you share on the Platform and for what you say and do during Calls. You represent and warrant that you have all rights necessary to share any Content you upload, and that your Content and your conduct during Calls do not breach these Terms, the Community Guidelines, or applicable law.
9.2 Our moderation
We have the right, but not the obligation, to review Content, monitor Calls, and moderate user activity in the ways described in the Privacy Policy. We may remove or restrict access to any Content, block features on your Account, or take other action we consider appropriate, if we reasonably believe that these Terms, the Community Guidelines, or applicable law have been breached.
Call content is handled as described in Section 4.3 of the Privacy Policy: Calls are not routinely recorded, but a limited sample of Calls may be recorded for safety review, moderation training, and dispute resolution, subject to the safeguards set out there.
9.3 Reporting
If you believe another user has breached these Terms, the Community Guidelines, or applicable law, or if you believe you have been the subject of illegal, abusive, or unsafe conduct, please report the user or the incident through the in-app reporting tools or by writing to our grievance channels described in Section 20.
9.4 Cooperation with authorities
We will cooperate with lawful requests from courts, regulators, and law-enforcement authorities in India, including by providing information about users and their activities on the Platform where required by law.
10. Intellectual Property
10.1 Our rights
The Platform, including its software, source code, design, layout, user interface, graphics, text, videos, product features, and the trademarks, service marks, logos, and branding of Sakhi & Me and Mehphil, is owned by Mehphil or licensed to us. All rights not expressly granted to you in these Terms are reserved. You are granted a limited, personal, non-exclusive, non-transferable, and revocable licence to install and use the Platform on a device that you own or control, solely for your personal, non-commercial use in accordance with these Terms.
You may not copy, adapt, modify, distribute, display, publish, or create derivative works of any part of the Platform, except with our prior written permission or as expressly permitted by law that we cannot contract out of.
10.2 Your Content
You retain all rights in Content you create and share on the Platform. By submitting Content to the Platform, you grant us a worldwide, non-exclusive, royalty-free, sub-licensable, and transferable licence to host, store, reproduce, adapt, publish, translate, and display that Content, solely for the purposes of operating, improving, protecting, promoting, and providing the Platform. This licence continues for as long as we retain the Content in accordance with the Privacy Policy, even if you close your Account.
10.3 Feedback
If you send us feedback, suggestions, or ideas about the Platform, you agree that we may use them freely and without any obligation to you.
10.4 IP complaints
If you believe that any Content on the Platform infringes your intellectual property rights, please write to our grievance channels described in Section 20, providing sufficient information for us to identify the Content, the right you claim, and the basis of your complaint. We will act on legitimate complaints as required by applicable Indian law.
11. Privacy
Our collection, use, and sharing of your personal data is described in the Privacy Policy. By using the Platform, you acknowledge that you have read the Privacy Policy and consent to the processing of your personal data as described there.
12. Third-Party Services and Links
The Platform relies on third-party service providers for authentication, real-time calling, payments, KYC verification, analytics, engagement, and other functions, as described in the Privacy Policy. Where a third-party service provider processes your payment or verifies your identity, that provider’s own terms and privacy notices apply to their handling of your data, in addition to our own.
The Platform may also contain links to, or embed content from, third-party websites, apps, or services. We do not control those third-party services and are not responsible for their content, accuracy, availability, or practices. Your use of any third-party service is at your own risk and is governed by the terms of that third party.
13. Suspension, Closure, and Appeal
13.1 Action by us
We may, at our reasonable discretion, restrict access to your Account, suspend specific features, remove Content, close your Account, or take any other action we consider appropriate, if we reasonably believe that:
- you have breached these Terms, the Host Terms (if applicable), the Community Guidelines, or applicable law;
- your Account has been compromised, used fraudulently, or used to harm other users;
- a payment made in respect of your Account has been reversed, charged back, or is suspected of being unauthorised;
- a court, regulator, or law-enforcement authority requires us to do so; or
- your continued use of the Platform poses a risk to the safety, integrity, or lawful operation of the Platform, our users, or our staff.
Where practical, we will notify you before we take action. We may act without prior notice where a delay would frustrate the purpose of the action, where the law requires immediate action, or where there is a serious risk of harm to others.
13.2 Consequences
If your Account is closed for a breach described in Section 13.1, unused Coins, Gifts, and Diamonds in your Account may be forfeited without refund or compensation, as described in Sections 6 and 7. Sections that by their nature should survive the closure of your Account, including Sections 10, 14, 15, 16, 18, and 21, will continue to apply.
13.3 Closure by you
You may close your Account at any time using the in-app Account closure flow or by writing to our support team. Closure of your Account does not entitle you to a refund of any Coins purchased. We will handle your data on closure as described in the Privacy Policy.
13.4 Appeal
If you believe we have taken action against your Account in error, you may appeal by writing to the Grievance Officer using the contact details in Section 20. We will consider your appeal in good faith and respond within the timelines required by applicable law.
14. Disclaimers
The Platform is provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, we make no representations or warranties of any kind, whether express, implied, statutory, or otherwise, about the Platform, its content, or the conduct of its users. In particular, we do not warrant that:
- the Platform will be uninterrupted, secure, or error-free;
- any defects will be corrected;
- the Platform is free from viruses or other harmful components;
- any information provided through the Platform is accurate, complete, or reliable;
- Calls will connect, complete, or be of any particular quality; or
- any Host will be available, responsive, entertaining, or suited to your preferences.
You use the Platform, and interact with other users, at your own risk. We do not conduct background checks on Customers or Hosts beyond the KYC steps described in these Terms, and we are not responsible for the conduct, on or off the Platform, of any user.
15. Limitation of Liability
To the maximum extent permitted by applicable law, Mehphil, its affiliates, and their respective directors, officers, employees, agents, and licensors will not be liable to you for any indirect, incidental, special, consequential, punitive, or exemplary damages, or for any loss of profits, revenue, data, goodwill, business opportunity, or reputation, arising out of or in connection with your use of, or inability to use, the Platform, whether based in contract, tort (including negligence), statute, or any other legal theory, and whether or not we have been advised of the possibility of such damages.
Where we are found liable to you under applicable law that we cannot contract out of, our total aggregate liability to you, for all claims arising out of or in connection with the Platform in any twelve-month period, will not exceed the greater of (a) the total amount paid by you to Mehphil for Coins in the six (6) months immediately before the event that gave rise to the claim, and (b) INR 5,000 (Indian Rupees Five Thousand).
Nothing in this Section 15 limits any liability that cannot be limited or excluded under applicable Indian law, including liability for gross negligence, fraud, or wilful misconduct on our part.
16. Indemnity
You agree to defend, indemnify, and hold harmless Mehphil, its affiliates, and their respective directors, officers, employees, agents, and licensors from and against any and all claims, demands, actions, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
- your use of, or access to, the Platform;
- your breach of these Terms, the Host Terms, the Community Guidelines, or the Privacy Policy;
- your violation of any applicable law or the rights of any third party, including intellectual property, privacy, publicity, or consumer protection rights; or
- your Content or the Content sent from your Account.
We may, at our discretion and at your cost, assume the exclusive defence and control of any matter otherwise subject to your indemnity, in which case you agree to cooperate with us in asserting any available defence. This obligation survives closure of your Account.
17. Force Majeure
We will not be liable for any failure or delay in performing our obligations under these Terms where that failure or delay is caused by circumstances beyond our reasonable control, including acts of God, natural disasters, pandemics or epidemics, government action, orders of regulatory authorities, court orders, war, civil unrest, terrorism, strikes, labour disturbances, failures of internet or telecommunications infrastructure, outages of third-party services (including our cloud, calling, and payment providers), and cyberattacks. If a force majeure event materially and adversely affects our ability to operate the Platform for an extended period, we may suspend the Platform, in whole or in part, for the duration of the event.
18. Governing Law and Dispute Resolution
These Terms and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with these Terms, their subject matter, or their formation are governed by and construed in accordance with the laws of India.
The courts at Bengaluru, Karnataka, India shall have exclusive jurisdiction to settle any such dispute or claim. Nothing in this Section 18 limits your statutory rights as a consumer under Indian law, including your right to approach a consumer forum with appropriate jurisdiction.
19. Changes to These Terms
We may update these Terms from time to time to reflect changes in the Platform, in the way we operate, or in applicable law. When we make a material change, we will let you know through the Platform, by email or SMS to your registered contact, or by another appropriate means, before the change takes effect. The "Effective Date" at the top of these Terms shows when they were last updated.
Where a change requires your consent under applicable law, we will seek that consent before the change takes effect for you. Your continued use of the Platform after the effective date of an updated version of these Terms means that you accept the updated Terms. If you do not agree to an update, please stop using the Platform and close your Account.

We will acknowledge grievances and respond within the timelines required by applicable law. If your grievance is not resolved to your satisfaction, you may approach the appropriate authority under applicable Indian law.
21. Miscellaneous
21.1 Entire agreement
These Terms, together with the Privacy Policy, the Community Guidelines, the Host Terms (where applicable), and any additional terms we display at the point of a specific transaction or feature, form the entire agreement between you and Mehphil in respect of your use of the Platform, and supersede any prior communications or agreements between you and us on this subject.
21.2 Assignment
We may assign, transfer, or delegate any of our rights or obligations under these Terms to any of our affiliates or to a successor entity, including in connection with a merger, acquisition, reorganisation, or sale of assets. You may not assign, transfer, or delegate any of your rights or obligations under these Terms without our prior written consent.
21.3 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it valid, legal, and enforceable, and the remaining provisions will continue in full force and effect.
21.4 Waiver
Our failure to enforce any right or provision of these Terms will not be treated as a waiver of that right or provision. Any waiver by us must be in writing to be effective.
21.5 Notices
We may give notices to you through the Platform, by email, by SMS, or by push notification to your registered contact details. You may give notices to us by writing to the addresses in Section 20. A notice is deemed to have been received on the day it is delivered, or if delivered after normal business hours, on the next working day.
21.6 Relationship
Nothing in these Terms creates any partnership, joint venture, agency, franchise, or employment relationship between you and Mehphil, and neither party has any authority to bind the other in any manner.
21.7 Headings
Section headings in these Terms are for convenience only and do not affect the interpretation of any provision.
